Nowadays with the effect of increasing competition conditions, increasing in mergers and acquisitions, public offerings and privatizations, and supply and demand for rapidly growing capital markets and stock markets, encourages the owners and investors to search for the correct value of the company. In order to determine the firm value, it is necessary to know what the value is. The concept of value; It has a structure that differs according to the society structure, time and culture it is in and can be defined as the quality or price perceived or paid by the consumer in general terms. Valuation is the monetary expression of the value of the assets and is the whole of the activities performed during the determination of the value of an asset. The aim of this study is to examine the methods used in firm valuation in detail and to determine the advantages and disadvantages of the most commonly used methods today. In the first part of the study concepts of value and firm valuation; In the second part, the importance of firm value, their status in terms of users of financial statements and the importance of firm valuation; international valuation standards in the third section and grouping the valuation methods into three as asset based-market based-income based was examined. In the fifth part of the study, an application was made on a firm listed in BIST and the status of the firm examined before and after the valuation was analyzed.

Günümüzde artan rekabet koşullarının etkisi ile birlikte firma birleşme ve satın almaların, halka açılma ve özelleştirmelerin ve hızla büyüyen sermaye piyasaları ile borsalardaki hisse senetlerine olan arz ve talebin artması, firma sahiplerini ve yatırımcılarını firma değerini doğru tespit etme arayışına yöneltmektedir. Firma değerinin belirlenmesi için öncelikle değerin ne olduğunun bilinmesi gerekmektedir. Değer kavramı; içinde bulunduğu toplum yapısına, zamana ve sahip olduğu kültüre göre farklılık gösteren yapıya sahip olup genel anlamda, tüketici tarafından algılanan veya bedeli ödenen kalite veya fiyat olarak tanımlanabilmektedir. Değerleme ise varlıkların değerinin parasal olarak ifadesi olup bir varlığın değerinin belirlenmesi sırasında yapılan faaliyetlerin bütünüdür. Bu çalışmanın amacı, firma değerlemesinde kullanılan yöntemleri detaylı olarak incelemek, günümüzde en çok kullanılan yöntemlerin avantaj ve dezavantajlarını belirlemektir. Çalışmanın birinci bölümünde değer ve firma değerleme kavramları; ikinci bölümünde firma değerinin önemi, mali tablo kullanıcıları açısından durumları ile firma değerlemenin önemi; üçüncü bölümünde uluslararası değerleme standartları, dördüncü bölümünde değerleme yöntemlerinin aktif bazlı-piyasa bazlı-gelir bazlı olarak üçe ayrılarak gruplandırılması irdelenmiştir. Çalışmanın beşinci bölümünde ise BİST'de işlem gören bir firma üzerinde uygulama yapılarak firmanın incelenen finansal tabloların değerleme öncesi ve sonrası durumu analizi yapılmıştır.
